SAMEDA ByLaws
ARTICLE I - The name of the corporation
SAMEDA, which stands for the "San Diego Area Middle Eastern Dance Association"
ARTICLE II - Objective
To provide educational and performance opportunities for those interested in the
art of Middle Eastern Dance and to promote this art to the general public by
sponsoring seminars, workshops and events.
Also to publish a monthly newsletter containing listings of such events and
items of related interest as well as providing a public forum in which the
membership is invited to participate.
ARTICLE III - Membership
Section 1. Any person shall be eligible for membership in SAMEDA upon completion
of the SAMEDA application form and payment of the full amount of annual dues.
Section 2. The annual dues shall be $20.00 or and until a different amount is
designated by vote of SAMEDA Board and shall be payable on or before individual
expiration date each year.
Section 3. The membership chair shall notify members delinquent in their dues,
and those members shall forfeit their membership on the expiration date if their
dues remain unpaid. Members shall be reinstated upon payment of dues.
ARTICLE IV - Board of Directors
Section 1. Directors and officers shall be elected by ballot at the annual
SAMEDA Faire (in July) to serve a term of two years and/or until their
successors are elected. Their term of office shall begin in September of the
same year.
Section 2. The board shall consist of at least 7 but not more than 11 directors.
Section 3. The officers shall be a president, vice-president, secretary,
treasurer.
Section 4. The officers and directors shall perform the duties described in the
Parliamentary Authority and these bylaws, including the following Board members
shall commit 2-6 hours per month of service.
Board members shall submit at least one article per term to the SAMEDA monthly
news. Board members shall attend at least 75% of the board meetings a year.
Board members shall attend and support as many SAMEDA sponsored events, as
possible.
Section 5. No person shall be elected to the board of directors who is not a
member of SAMEDA.
ARTICLE V- Meetings
Section 1. A regular meeting of the board of directors shall be held a minimum
of six times a year at a location to be determined, unless otherwise necessary.
A special meeting may be held upon the call of the president or on the written
request of any ten members of SAMEDA.
Section 2. The regular meeting in January shall be known as the annual meeting
and shall be for the purpose of reviewing annual reports and conducting any
other business that may arise.
Section 3. At least 5 members of the board of directors constitute a quorum of
the board of directors.
